Almirall Advantage Seysara® (sarecycline) Savings Program SMS (text) messages are automated copay program messages to receive your activated copay savings card. These SMS messages are sent through PSKW, LLC dba ConnectiveRx a service provider partner operating on behalf of Almirall, LLC.

By texting SEYSARA to 39107, you represent that you are the authorized user of the wireless device you use to receive the messages and that you are authorized to Approve any changes. Almirall, LLC reserves the right to alter these terms and conditions or discontinue the messaging at any time and at its sole discretion, may add or delete a cellular carrier from this program at any time, without notice. Text messages you receive as part of this program are automated and your responses are not read by any person. Consent to receiving SMS messages is not a requirement to participating in the Almirall Advantage Seysara® (sarecycline) Savings Program and may opt out at any time. You are using Almirall Advantage Seysara® (sarecycline) Savings Program, a mobile Application (APP) belonging to Almirall LLC, a company registered in Pennsylvania, USA, with its offices in Almirall, LLC, Malvern, PA 19355. (“Almirall”, “we”, “us”, “our”).

Access to the APP

These Terms and Conditions regulate the access and use of the APP, which Almirall makes available free of charge to users. Access to this APP implies unreserved acceptance of the following conditions. Use of some services offered on this APP may be also subject to specific conditions indicated in each case.

We reserve the right, in our sole discretion to refuse, suspend, modify or terminate the information services we provide to you through this APP.

The information contained in this APP must be considered as an electronic communication. You hereby agree that we may communicate electronically, subject to local privacy laws, and that such communications, are equivalent to communications in writing and shall have the same force and effect as if they were in writing and signed by the party sending the communication.

Use of the APP

By adhering to the Terms and Conditions, you understand that the APP is only available for your personal and non-commercial use, and you agree that you will use the APP only for lawful purposes and in accordance with these Terms and Conditions and in full compliance of the Applicable laws.

We do not accept any liability and will not be responsible for any harm or loss you may suffer in relation to any use you make of the APP for business or commercial purposes or other purposes which are not specifically included in the authorized use of this Agreement.

While using this APP you agree, among others:

You further represent and warrant that you are not (1) identified in the U.S. Treasury Department's Office of Foreign Assets Control's (“OFAC”) list of Specially Designated Nationals (2) accessing the Services from a jurisdiction subject to an OFAC embargo or sanctions program, or (3) using the Services in any way that would cause us or you to be in violation of a U.S. sanctions program, embargo, trade restriction, or anti-terrorism law. We reserve the right to disclose any information about you or your use of the services in connection with any investigation by us or law enforcement authorities as may be Appropriate or necessary to satisfy any Applicable law, regulation, legal process, or governmental request.

Intellectual property rights over all the information contained in the APP, graphic designs, logos, drawings, trademarks, images, indices and source codes in HTML, JavaScript or any other languages belong to us, except to those contents belonging to third parties to which you may have access through links and, therefore, all rights are reserved. The trademarks and brand names displayed on this APP are of our property or the property of Almirall's affiliates and you are not able to reproduce them without our permission.

Notwithstanding the above, we grant you a non-exclusive, non-transferable, revocable limited license to use the APP and view and print content retrieved from the APP for your personal, non-commercial purposes as indicated above, provided that you do not remove or hide copyright notices and that you mention the source and authorship, as the case may be. You must not modify the paper or digital copies of any materials you have printed off or downloaded in any way, and you must not use any illustrations, photographs, video or audio sequences or any graphics separately from any accompanying text.

If you print off, copy or download any part of the APP in breach of these Terms and Conditions, your right to use the APP will cease immediately and you must, at our option, return or destroy any copies of the materials you have made. This license may be withdrawn at any time by us, without prior notice. As previously stated above, this license does not include any copying or distribution, resale or commercial use of this APP or its contents. We reserve all rights not expressly granted to you.

Software Requirements

The App has been developed to work with the latest version of iOS and Android software. In case of update of the software, Almirall will endeavor to update the App, if necessary, to ensure its functioning and performance.

The user will be responsible to ensure to be using the latest version of iOS or Android.

Exoneration from Liability

This APP is addressed to the general public of legal age, according to the Applicable laws. You must refrain from using this APP if you cannot form legally binding contracts, conditions, obligations, representations and/or warranties under the Applicable law. If you do not meet this requirement, please refrain from using this APP.

We inform you that the materials and information contained on this APP have been included for informative purposes only and are not sufficient for decision-making or adopting positions for specific cases. We accept no liability for any damage caused or connected to the use of this information.

Your use of the APP is at your sole risk. The contents of the APP are provided “as is”, this meaning that we make no warranties, expressed or implied, including no warranties of merchantability, fitness for any particular purpose or non-infringement, except as expressly provided in this Agreement, in respect to the services provided through and the contents included in the APP.

You expressly understand and agree that under no circumstances we or our affiliates, and any of the respective directors, officers, employees, or representatives will be liable for any direct, indirect, special, incidental, consequential, punitive, or liquidated damages, including without limitation, any loss of profit, loss of data or loss of goodwill, howsoever caused. This exclusion of liability shall Apply to the fullest extent permitted by the Applicable laws. You agree to hold us harmless and to indemnify us and our affiliates, and any of the respective officers, directors, employees, consultants, services providers and agents from an against any losses, costs, expenses, damages and other liabilities or claims (including reasonable attorney's fees) arising from or relating to (1) your breach of this Agreement, (2) your use of the APP or (3) any claim from any third party alleging that your User content infringes such third party rights (including intellectual property rights).

Validity of these Terms and Conditions

These Terms and Conditions will be Applicable from the moment you download, install, or use the App and will remain in force until its completion by any of its Parties. You can remove at any time the App from your device.

After the completion of the services, the following clauses will remain valid: Property; Intellectual Property, Privacy Policy; Applicable law and jurisdiction.

Suspension of Services

We reserve the right to modify, suspend or interrupt the App and its services at any time due to the improper use by the User, as well to any other obligations set forth in these Terms and Conditions. You accept that in such circumstance you must stop using the Application and delete all copies of it.

Injunctive relief

You acknowledge and agree that any violation of these Terms and Conditions relating to the disclosure, use, copying, distribution, display, or publishing of the information and/or content on the services and/or its associated services may result in irreparable injury and damage to us that may not be adequately compensable in money damages, and for which we will have no adequate remedy at law. You, therefore, consent and agree that Almirall may obtain injunctions, orders, or other equitable relief as may be reasonably necessary to ensure compliance with these Terms and Conditions. You waive any requirement of the posting of a bond that may apply for issuance of any injunctions, orders, or other equitable relief.

Severability

If a court or tribunal determines under judgment signs the invalidity or unenforceability of any provision of these Terms and Conditions, the other provisions shall remain in force.

Applicable law and jurisdiction

These Terms and Conditions shall be interpreted in accordance with the laws of the State of Pennsylvania and any legal proceedings arising from these Terms and Conditions will take place at the courts or tribunals of Philadelphia.
